
Carol Hui is General Counsel and an Executive Director on the Amey Plc Board. She joined Amey in 2000. As an Executive Director she participates in the development of Group strategy and policy, and the review of key projects and investments. She is responsible for the Group’s legal and secretariat affairs, contract and property services and insurance.
Carol began her career as a corporate finance lawyer with Slaughter and May, a leading City law firm.
She moved to the British Gas Group and became Deputy General Counsel of BG plc. Carol led the legal team in the demerger of British Gas, multinational project finance transactions, capital market deals, acquisitions and disposals and corporate restructurings.
Carol then took up the role of Group Company Secretary and Director of Legal Services at TDG plc, where she was responsible for corporate governance, regulatory compliance and provided strategic advice to the Board. She led the disposal of the plant hire division and the setting up of an e-commerce business. In addition, she headed up the property function and was a pension trustee. Carol also served as a Board Director of the International Metal Warehouses Association.
Carol is responsible for Amey's Legal and Secretariat function which handles major contracts including PFI / PPP projects, acquisitions and disposals, joint ventures, litigation, corporate and finance matters.
In addition, she manages a range of external law firms and has successfully reduced the Group’s bidding costs through careful structuring of external legal fees. Carol has also introduced efficiency and organisation in Secretariat, streamlining a Group consisting of over 100 companies and leading a team to administer all statutory compliance and corporate governance.
She heads up the Contracts Services and Property Services, as well as Insurance, for the Group.
She provided vital input during the public takeover by Ferrovial in 2003, dealing with Stock Exchange and Takeover Code matters, bank refinancing, integration plans and legacy issues. She has been a member of the Executive involved in returning the Company to a stable and profitable position. She led the legal team in Amey’s acquisition of the Jarvis stake in Tube Lines.
Carol holds Bachelor and Postgraduate degrees in law and is a solicitor. She was appointed by the Prime Minister to serve as a Member of the Review Body on Doctors’ and Dentists’ Remuneration. In April 2008, she was awarded European General Counsel of the Year by the International Law Office and Association of Corporate Counsel.
She is a Fellow of the Royal Geographical Society, a member of the Amnesty International Urgent Action Group and serves on the Editorial Board of the International In-House Counsel Journal. Carol enjoys literature, the arts, current affairs, travelling and is a Cordon Bleu cook.
